User Submission Agreement

This User Submission Agreement (“Agreement”) governs content that you (“you,” “User”) submit to the Secret Agents Client CRM (the “Service”), including notes, imported or ingested records, lead data, custom field values, attachments, and any other materials (collectively, “Submissions”). It supplements the Terms of Service, the Privacy Policy, and the Acceptable Use Policy.

1. Your responsibility for Submissions

You are solely responsible for your Submissions and for ensuring that they comply with applicable law, with the Terms of Service, and with the Acceptable Use Policy. You should not submit content unless you have the right to do so and, where applicable, have obtained the necessary consents from the individuals concerned.

2. License to the Service

You grant Secret Agents a worldwide, non-exclusive, royalty-free, sublicensable (only to our sub-processors as described in our Privacy Policy) license to host, store, copy, transmit, display, modify (as needed for formatting and operation), and process your Submissions solely for the purposes of:

We do not claim ownership of your Submissions. The license granted above ends when you (or the Customer Organization on whose behalf you act) delete the Submission, except for backup or archived copies retained for a limited period and to the extent required by law.

4. CSV imports and bulk uploads

Where you import data in bulk (for example, via CSV), the click-through confirmation presented in the Service is your attestation that the representations in Section 3 apply to that import. We may sample, validate, or reject imports that appear inconsistent with these representations.

5. Removal and moderation

We may remove or disable access to Submissions that we reasonably believe violate the Terms of Service, this Agreement, the Acceptable Use Policy, or applicable law, or in response to a valid legal request. Where reasonably practicable, we will give notice to the Customer Organization that owns the Submission.

6. No obligation to use Submissions

We have no obligation to monitor, edit, or display any particular Submission. The presence of a Submission in the Service does not constitute endorsement.

7. Intellectual property claims

If you believe a Submission infringes your intellectual property rights, please contact [legal@secretagents.co] with sufficient detail to identify the work and the alleged infringement. We will respond to valid claims under applicable law, including, where applicable, the notice-and-takedown procedures of the U.S. Digital Millennium Copyright Act.

8. Indemnification

You agree to indemnify Secret Agents against third-party claims arising from your Submissions or from breach of your representations and warranties in this Agreement.

We may update this Agreement. Continued use of the Service after the effective date of an update constitutes acceptance.
